Full job description

The role involves working closely with Legal, Secretarial, and Finance teams to support M&A, strategic investment, and group restructuring initiatives across jurisdictions. Responsibilities include managing secretarial and regulatory workstreams, supporting transaction structuring under corporate law and regulatory frameworks (Companies Act, FEMA/RBI, SEBI), coordinating transaction readiness, interfacing with external parties on governance and compliance, mitigating regulatory risks, overseeing post-closing compliance and integration filings, and monitoring regulatory developments. Candidates must be a qualified Company Secretary with 9-10 years of relevant PQE, excellent communication skills, proactive attitude, ability to work independently in a high-paced environment, and strong problem-solving skills.

What you'll do

  • Manage secretarial and regulatory workstreams for M&A transactions, strategic investments, divestments, fundraising, and group restructuring initiatives across jurisdictions
  • Support transaction structuring from a corporate law and regulatory perspective, including analysis under the Companies Act, FEMA/RBI, and SEBI regulations
  • Coordinate end-to-end transaction readiness, including diligence preparation, data room support, transaction documentation inputs, and regulatory sequencing of approvals and filings
  • Act as an interface with external counsel, auditors, investors, acquirers, and regulators on transaction-related governance and compliance matters
  • Identify, assess, and mitigate regulatory and governance risks arising during deal execution and post-transaction integration
  • Oversee post-closing compliance, integration-related filings, and implementation of transaction conditions precedent and subsequent
  • Monitor regulatory developments impacting M&A and investment activity and advise deal teams on implications
