Full job description
Corporate Counsel role requiring 5-7 years of experience in corporate governance and legal compliance. Responsibilities include managing filings of financial and tax returns, drafting and negotiating SaaS subscription and data licensing agreements, leveraging governmental incentives such as R&D tax credits, managing incorporation of international subsidiaries, drafting intercompany agreements and board resolutions, and supporting fundraising activities. Requires strong knowledge of contract law, corporate formalities, data privacy laws (GDPR, CCPA, CPA, CTDPA), and experience with SaaS and startups preferred. Must have a bachelor's degree and legal education (LLB, GLD, JD). Position is full-time, hybrid in McLean, VA. What you'll do
- Coordinate preparation and filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and service provider utilisation disclosures
- Understand material terms and conditions of subscription and data licensing agreements for SaaS businesses, and draft, negotiate, and amend such agreements
- Generate business ROI by identifying and leveraging governmental incentives (e.g., R&D tax credits targeting emerging growth companies) to improve corporate financial performance
- Project management for the incorporation of international affiliates and subsidiaries
- Draft intercompany agreements and written board resolutions for international entities (e.g., Ireland, Delaware)
- Familiarity with Organisation for Economic Co-operation and Development (OECD) Guidelines for Multinational Enterprises
- Excellent interpersonal and written/verbal communication skills
- Support fundraising activities, including Series A raises, Venture Debt raises, and Convertible Notes
Requirements
- Deep familiarity with the complexities of SaaS agreements, including understanding user rights, service level agreements (SLAs), and compliance with applicable laws
- Skilled in negotiating and structuring intercompany agreements to align with corporate strategy while ensuring legal compliance
- Knowledgeable in data protection laws and regulations, equipped to address data privacy matters, conduct risk assessments, and implement compliance measures
- Experienced in drafting and presenting board resolutions, supporting governance and compliance initiatives at the executive level
- Effective communicator with the ability to collaborate with product teams to align legal terms with product development and market strategy
- Versatile in managing various legal tasks as required, demonstrating adaptability and a proactive approach to legal support
- Bachelor’s degree required (e.g., Law, Finance, Economics, Business Administration, International Affairs, or Management)
- Legal education (e.g., LLB, GLD, JD) required
- Startup and SaaS experience preferred
- Familiarity with global information security and privacy laws required (e.g., GDPR, CCPA, CPA, CTDPA)
