Full job description
Corporate Counsel role requiring 5-7 years experience in corporate governance, contract law, and legal compliance. Responsibilities include managing filings of financial and tax returns, drafting and negotiating SaaS subscription and intercompany agreements, leveraging governmental incentives, project managing international incorporations, and supporting fundraising activities. Requires excellent communication skills, legal education (LLB, GLD, JD), familiarity with global privacy laws (GDPR, CCPA, CPA, CTDPA), and experience with SaaS and startups preferred. What you'll do
- Coordinate preparation and filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and service provider utilisation disclosures
- Understand and manage subscription and data licensing agreements for SaaS businesses; draft, negotiate, and amend such agreements
- Identify and leverage governmental incentives (e.g., R&D tax credits) to improve corporate financial performance
- Project manage incorporation of international affiliates and subsidiaries
- Draft intercompany agreements and board resolutions for international entities (e.g., Ireland, Delaware)
- Apply familiarity with OECD Guidelines for Multinational Enterprises
- Collaborate extensively across multiple functions
- Support fundraising activities including Series A raises, Venture Debt raises, and Convertible Notes
Requirements
- Deep familiarity with the complexities of SaaS subscription agreements, including user rights, SLAs, and legal compliance
- Skilled in negotiating and structuring intercompany agreements aligned with corporate strategy and legal compliance
- Knowledgeable in data protection laws and regulations, able to address data privacy matters, conduct risk assessments, and implement compliance measures
- Experienced in drafting and presenting board resolutions supporting governance and compliance initiatives
- Effective communicator with ability to collaborate cross-functionally, including with product teams
- Versatile in managing various ad-hoc legal tasks
- Bachelor’s degree (Law, Finance, Economics, Business Administration, International Affairs, or Management)
- Legal education (LLB, GLD, JD) required
- Familiarity with global information security and privacy laws (e.g., GDPR, CCPA, CPA, CTDPA)
- Startup and SaaS experience preferred
