Full job description

StackAdapt seeks a senior IP and Commercial Counsel to support its AI-powered marketing platform and programmatic products. The role involves drafting and negotiating contracts with clients and partners, managing IP litigation and strategy, advising on AI and automation legal issues, and supporting compliance and data governance. Requires JD and active law license in Canada or US, 6+ years legal experience including in-house commercial and litigation roles, strong technology aptitude, negotiation skills, and ability to work with cross-functional teams. Remote role open to candidates in Canada or US.

What you'll do

  • Draft, negotiate, and interpret contracts with clients and ad tech ecosystem partners
  • Manage and negotiate IAB terms and conditions including Standard Terms and Conditions and Multi-State Privacy Agreement
  • Review and negotiate agreements for AI and automation vendors
  • Develop automated and AI-assisted workflows for internal compliance
  • Partner with and manage external counsel globally for IP litigation, strategy, and regulatory matters
  • Direct all phases of complex IP and patent litigation
  • Advise management on IP strategy including patentability, freedom-to-operate, and infringement analyses
  • Work with internal R&D and product teams to identify patentable inventions and guide portfolio development
  • Oversee IP due diligence for acquisitions, divestitures, or partnerships
  • Monitor changes in patent law and AI regulatory landscape
  • Provide legal, IP, and regulatory guidance during design and launch of programmatic, martech, and owned-channel features
  • Advise on legal and compliance implications of AI, machine learning, and automated decision-making tools
  • Support Privacy team on data governance matters
  • Guide post-launch compliance efforts including auditing and protection of proprietary technology

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Call to the Bar in one or more Canadian Provinces or US states with active license
  • 6+ years of legal experience, preferably in technology
  • At least 3 years in an in-house commercial role
  • 3 years of complex litigation experience
  • Strong aptitude for complex technology and ad tech ecosystem
  • Excellent negotiation, analytical, and communication skills
  • Ability to handle complex cases and meet litigation deadlines
  • Strategic thinking and problem-solving skills
  • Strong drafting and negotiation skills for commercial agreements
  • Ability to simplify complex legal and technical concepts
  • Excellent collaboration skills with non-legal stakeholders
  • Proven ability to manage multiple projects in a fast-paced environment
  • Appetite for adopting automation and AI tools in legal workflows
  • Preferred: Certified Information Privacy Professional (CIPP) certification
  • Preferred: Experience with AI-related legal and governance issues in ad tech or martech
  • Preferred: Fluency with AI and automation tools in a modern legal function
